These Terms and Conditions govern your use of MDK Japan’s website and services. By placing an order, making payment, or using our services, you agree to be bound by these Terms & Conditions, including our Privacy Policy.

1. Introduction

This invoice is issued subject to the Terms & Conditions of M.D.K. CORPORATION CO., LTD, doing business as MDK JAPAN (“MDK”). By accepting this invoice or making payment, the customer agrees to be bound by these Terms & Conditions, including MDK JAPAN’s Privacy Policy.

2. Intellectual Property

All content, materials, and intellectual property on the MDK website or related documents are the exclusive property of MDK JAPAN. Unauthorized use, reproduction, or distribution is strictly prohibited.

3. Sales & Product Accuracy

MDK JAPAN makes all reasonable efforts to ensure accurate product descriptions. However, all purchases are made at the customer’s own risk. MDK JAPAN is not responsible for auction notes, bidding failures, or price differences.

4. Delivery, Shipping, and Risk Transfer

All shipments are carried strictly under the Carrier’s Bill of Lading terms and conditions. The Seller, acting as the shipper, only arranges shipment and documentation and is bound by the Carrier’s rules. The Seller has no authority to vary, waive, or extend the Carrier’s terms, and their role and liability are limited to what is expressly permitted under the Bill of Lading and the Carrier’s conditions.

5. Payment Terms

• Payment is due within 7 days from invoice date.
• Orders become non-cancellable once handed over to the carrier.
• Bank charges, including intermediary and beneficiary charges, are borne by the customer.
• MDK JAPAN reserves the right to suspend shipments or adjust deposits/cargo if payment is delayed.

6. LC & Third-Party Conditions

• Only Letters of Credit (LCs) meeting MDK JAPAN’s specifications will be accepted.
• MDK JAPAN is not responsible for delays, errors, or failures caused by third-party service providers, including shipping lines, banks, or logistics partners.
• All discrepancies are on the account of the consignee.

7. Non-Drivable, Accident, Flooded, and EV Units

• Additional transportation or handling charges may apply for non-drivable, accident, flooded, or electric vehicles.
• EV shipments may be restricted by shipping lines and may require extra documentation, charges, or transit time.

8. Transit Time

All transit times are estimates and subject to vessel availability, shipping line schedules, and operational conditions. MDK JAPAN does not guarantee delivery timelines.

9. Insurance

• Cargo is not insured by default.
• Customers may arrange insurance at their own cost.
• MDK JAPAN is not liable for uninsured losses during transit.

10. Claims

• Minor scratches, dents, or marks may occur during container or RO-RO transport.
• Claims are assessed according to MDK JAPAN’s internal claim policy.
• Approved claims are limited and MDK JAPAN’s decision is final and binding.
• After final calculation or re-auction, MDK reserves the right to charge its commission or any applicable tax on the profit.

11. Refunds

• Refunds are processed per standard procedures.
• Refunds are issued only to the original payer account, in the same country of origin, following international banking regulations.

12. RO-RO Shipping

• RO-RO vessels operate on limited schedules and are generally more expensive.
• Recommended for low or lightly used vehicles.
• Booking availability may change without prior notice.

13. Free Time & Storage

• Vehicles are allowed a limited free holding period.
• Daily storage charges apply beyond the free period and may be revised without notice.

14. Surcharge Policy

MDK JAPAN reserves the right to revise slab charges, war risk surcharges, buffer charges, or any additional shipping-related fees without prior notice.

15. Limitation of Liability

MDK JAPAN’s total liability under any circumstances is strictly limited to the amount paid by the customer under this invoice.

16. Indemnification

The customer agrees to indemnify and hold MDK JAPAN harmless against claims arising from misuse of goods or breach of these Terms & Conditions.

17. Legal Compliance

MDK JAPAN strictly enforces anti-bribery, anti-corruption, and anti-social force policies. All transactions comply with Japanese and United Nations export control regulations.

18. Jurisdiction

All disputes arising from this invoice are governed by and construed under the laws of Japan.

19. Force Majeure

Neither party shall be liable for non-performance caused by events beyond reasonable control, including acts of God, war, strikes, pandemics, government actions, sanctions, customs hold, carrier or port delays, or system failures. Performance time shall be extended accordingly. Any additional costs arising from such events shall be borne by the Buyer. Force Majeure does not excuse payment obligations or require release of documents or title before cleared funds are received.
